PPC Campaign Management Service

1. Service Provider Details

2. Definitions
Service Provider: Webgrow Kft., which provides the PPC campaign management service.
Client: the natural or legal person entering into a contract with the Service Provider for PPC campaign management services.
PPC (Pay-Per-Click): an online advertising model in which the Service Provider manages the Client’s advertising accounts (Google Ads, Meta Ads, TikTok Ads, LinkedIn Ads).
Advertising budget: the amount paid by the Client directly to the advertising platform (e.g. Google, Meta) for ad placements. It is not part of the agency fee.
Agency fee: the fixed monthly fee payable to the Service Provider for campaign management services.
Service: all PPC campaign management activities detailed in these GTC.
3. Subject of Service
The Service Provider delivers the following services according to the Client’s chosen package:
3.1. PPC Basic package
- Management of 1 advertising account (Google Ads OR Meta Ads)
- Campaign strategy development and build
- Ongoing campaign management and optimisation
- Ad creative production
- Monthly data-driven reporting
- Analytics insights
- Monthly online meeting with the campaign manager
3.2. PPC Pro package
- Everything in the PPC Basic package
- Management of 2 advertising accounts (e.g. Google Ads + Meta Ads)
- 10% discount per account on the agency fee
- Cross-platform strategy and remarketing
- Consolidated report across both platforms
3.3. PPC Max package
- Everything in the PPC Pro package
- Email newsletter campaign management
- Subscriber list building and segmentation
- Email automation setup
- Ad-hoc newsletter sends (max. 2/month)
- Integrated strategy: advertising + email in one hand
3.4. Complimentary Growth Club PRO membership
Every new PPC Client receives a complimentary six-month Growth Club PRO membership starting from the service start date. The monthly net fee of the Growth Club PRO membership is HUF 16,900, making the total complimentary value: 6 × HUF 16,900 = HUF 101,400 + VAT. The complimentary membership is non-transferable, non-refundable, and expires automatically upon termination of the PPC service — unless the Client continues at their own cost.
4. Fees and Payment Terms
4.1. Agency fees

4.2. The agency fee is a fixed monthly fee that does not change with the advertising budget. No campaign setup fee is charged.
4.3. The advertising budget is not included in the agency fee. The Client pays the advertising budget directly to the respective advertising platform (Google, Meta, etc.).
4.4. Payment method — Stripe card payment
To use the service, the Client must pay the monthly fee of their chosen package via credit or debit card through the Stripe payment platform. The service becomes active for the given month once the payment is successfully processed.
4.5. Automatic monthly billing
The card provided by the Client is automatically charged each month via Stripe for the monthly fee of the chosen package. The Client can manage their card details on Stripe’s secure interface; the Service Provider does not directly store or process card data.
4.6. Failed payment
If the card has expired or there are insufficient funds, the Service Provider will send an email reminder to the Client. If payment cannot be completed within 7 days of the failed charge, the Service Provider will automatically suspend the service. During suspension, campaigns are paused. The service is reactivated upon successful payment.
5. Contract Duration and Termination
5.1. The contract is concluded for an indefinite term, without any minimum commitment period.
5.2. Either party may terminate the contract without cause by written notice (email) with a 30-day notice period. The notice period begins on the day following receipt of the termination notice. During the notice period, the Service Provider continues to deliver the service under unchanged terms, and the Client remains obligated to pay the fee.
5.3. Either party is entitled to immediate termination in the event of a material breach by the other party, in particular:
- by the Client: failure to complete payment renewal within 7 days despite the reminder under Section 4.6;
- by the Service Provider: the Client’s activity violates applicable law or damages the Service Provider’s reputation.
5.4. Upon termination, the Service Provider shall return access to the Client’s advertising accounts within 5 business days. The advertising accounts and all campaigns within them remain the property of the Client.
5.5. The Client may cancel automatic billing at any time through the Stripe interface. This constitutes a termination under these GTC, subject to the 30-day notice period.
6. Obligations of the Parties
6.1. Obligations of the Service Provider:
- Professional delivery of campaign management services according to the chosen package;
- Monthly reporting and provision of online meetings;
- Informing the Client about campaign performance and recommended adjustments;
- Completing the onboarding process (questionnaire, kickoff meeting, campaign setup) within 2 weeks of the start of collaboration;
- Maintaining the confidentiality of the Client’s business secrets and proprietary data.
6.2. Obligations of the Client:
- Payment of the agency fee via card payment through the Stripe platform;
- Providing the information, access credentials, and materials necessary for campaign setup and management in a timely manner;
- Paying the advertising budget directly to the relevant advertising platform;
- Providing landing pages and product data related to the campaigns;
- Reviewing and approving creatives and campaign settings submitted by the Service Provider within a reasonable timeframe (5 business days);
- Keeping card details up to date on the Stripe interface.
7. Liability and Limitation of Liability
7.1. The Service Provider provides campaign management as a best-effort obligation, not a result-based obligation. The Service Provider does not guarantee any specific number of clicks, conversions, ad placements, or revenue.
7.2. The Service Provider is not liable for performance changes arising from unilateral algorithm, policy, or feature modifications by advertising platforms (Google, Meta, TikTok, LinkedIn).
7.3. The Service Provider’s liability in case of breach of contract is limited to the amount of the relevant monthly agency fee. The Service Provider is not liable for indirect, consequential, or lost-profit damages.
7.4. The Client is responsible for ensuring that advertising materials, product data, and offers provided to the Service Provider comply with applicable laws and the advertising platforms’ policies.
8. Intellectual Property
8.1. Ad creatives, copy, and visual assets created by the Service Provider as part of the service are produced for the Client. Upon payment of the agency fee, the Client obtains a licence to use them.
8.2. The Service Provider’s proprietary methodologies, tools, processes, and software automations remain the intellectual property of the Service Provider and do not transfer to the Client upon termination.
9. Confidentiality
9.1. Both parties shall treat all business, financial, and technical information received from the other party as confidential and shall not make it available to third parties.
9.2. The confidentiality obligation remains in effect for 2 years after termination of the contract.
9.3. Disclosure required by law does not constitute a breach of the confidentiality obligation.
10. Data Protection
10.1. The Service Provider processes personal data in accordance with the GDPR (Regulation (EU) 2016/679) and the Hungarian Information Act (Act CXII of 2011).
10.2. In the course of campaign management, the Service Provider acts as a data processor following the Client’s instructions when accessing personal data (e.g. remarketing lists, conversion data).
10.3. Analytics data collected through the campaigns is used exclusively for campaign optimisation and reporting and is not disclosed to third parties.
10.4. Card payment processing is handled by Stripe, Inc. (a PCI DSS Level 1 certified service provider). The Service Provider does not access or store the Client’s card data.

11. Force Majeure
Neither party shall be liable for failure to perform its obligations if caused by a force majeure event (natural disaster, war, epidemic, prolonged outage of the advertising platform, regulatory change). The affected party shall notify the other party without delay.
12. Final Provisions
12.1. Matters not regulated by these GTC shall be governed by Act V of 2013 on the Civil Code of Hungary (Ptk.).
12.2. The parties shall primarily resolve disputes through negotiation. If unsuccessful, the exclusive jurisdiction of the Kaposvár Court or the Kaposvár District Court shall apply.
12.3. The Service Provider reserves the right to unilaterally amend these GTC. The Client shall be notified of amendments by email at least 15 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the amended terms.
12.4. These GTC are effective from 8 July 2026.
